Company: Solar Overstocks (the “business”, “we”, “us”, or “our”), a business operating in England and Wales.

These Terms and Conditions govern the sale of goods (Solar PV components, batteries, accessories, etc.) from us to you. By placing an order with us, you agree to be bound by these terms.

1. Basis of Sale and Contract Formation

1.1. Order as Offer: Any order placed by you on our website is an offer to purchase the goods selected in your order, subject to these Terms and Conditions. 1.2. Acceptance: No contract for the sale of goods exists between you and us until we have received and accepted your order. Our acceptance of an order takes place when we dispatch the goods or send you a “Shipping Confirmation” email, whichever is earlier, even if your payment has been processed beforehand. 1.3. Pricing Errors: We make every effort to ensure accurate pricing. If an error in the pricing of a product is found, we reserve the right to either cancel the order or contact you to arrange payment of any extra sum due or refund any over-payment made. 1.4. Availability: All products are subject to availability. If we cannot supply the goods you have ordered, we will inform you and refund the full amount within 14 days.

2. Price and Payment

2.1. Price: The price of the goods shall be the price stipulated on the website at the time of your order. Prices include VAT (where applicable) at the current UK rate. 2.2. 3. Delivery and Risk

3.1. Delivery Times: Estimated delivery dates are given in good faith and are estimates only. Time of delivery shall not be of the essence. We are not liable for any losses or expenses incurred by you due to any delay in delivery. 3.2. Delivery Address: Goods will be delivered to the address provided by you during the checkout process. 3.3. Risk and Title: Risk of damage to or loss of the goods shall pass to you at the point of delivery. Title to the goods shall not pass to you until we have received payment in full. 3.4. Inspection on Delivery: Upon receipt of your order, you must inspect the goods. If the packaging or goods appear to be damaged or defective, you must refuse the delivery or sign for the parcel as “DAMAGED/UNCHECKED”. You must notify us of any damaged, defective, or missing goods within 48 hours of delivery. Failure to do so may affect your claim.

4. Cancellation and Returns (Consumer Rights)

4.1. Consumer Right to Cancel (Cooling-Off Period): If you are contracting as a consumer, you have a statutory right to cancel an order from the moment you place it and up to 14 days after the day you receive the goods (the “Cooling-Off Period”). 4.2. Notification: To exercise your right to cancel, you must inform us of your decision by a clear statement (e.g., email or letter). 4.3. Refunds: If you cancel the contract, we will refund the price paid for the products and the standard delivery cost. The maximum refund for delivery costs will be the cost of our standard delivery. 4.4. Return of Goods: You must return the goods to us without undue delay and, in any event, within 14 days from the day on which you notify us of the cancellation. 4.5. Condition of Returns: We can only accept returns for refund if the items are returned in a resaleable condition, uninstalled, and in their original, undamaged packaging. You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics, and functioning of the goods. 4.6. Exclusions: The right to cancel does not apply to: * Goods made to your specifications or clearly personalised (e.g., custom cable lengths, bespoke battery systems). * Goods that become mixed inseparably with other items after their delivery.

5. Warranties

5.1. Product Warranty: All goods sold are covered by the manufacturer’s product and performance warranties. Details of these warranties are provided in the documentation supplied with the goods or on our dedicated Warranty Policy. 5.2. Liability for Defects: Our responsibility is limited to the terms of the applicable product warranty. We will assist you in making a claim against the manufacturer where necessary.

6. Limitation of Liability

6.1. General: Nothing in these Terms and Conditions shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or for any matter for which it would be illegal for us to exclude or attempt to exclude our liability. 6.2. Installation/Fitting: We are solely a retailer of components. We accept no liability for any loss, damage, or injury caused by the installation, use, or maintenance of the goods. We strongly recommend that all complex components are installed by a qualified and certified professional. 6.3. Indirect Loss: Subject to Clause 6.1, we shall not be liable for any indirect or consequential loss, damage, or expense (including loss of profits, business, or goodwill) howsoever arising out of or in connection with the purchase of goods.

7. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
